Stockland CofE Primary Academy Trust – Governance
Stockland is structured in accordance with its Memorandum and Articles of Association. The governance model is a two-tiered structure, with members and governors. The term ‘Governor’ is interchangeable with ‘Director’ and ‘Trustee’.
Members
The Trust comprises 5 members. The members are accountable to the DfE and have ultimate responsibility for the Trust achieving its charitable objectives. They sign off the Articles of Association and have the power to appoint and remove the governors. The members include a representative from the Diocese of Exeter (EDEN). Members who are independent of the governors provide challenge and scrutiny to the Board.
Governors/Directors
Governors in the academy trust are directors of the company and trustees of the charity. They set the strategic direction for the academy and are accountable to the Secretary of State for its performance. This is set out in a legal document known as the ‘funding agreement’
The Board of Governors has three core functions:
- Ensuring clarity of vision, ethos and strategic direction
- Holding the Headteacher to account for the educational performance of the school and it’s pupils, and the performance management of staff; and
- Overseeing the financial performance of the school and making sure its money is well spent
The Full Board of Governors meets six times a year: the first meeting in the autumn to elect the Chair and approve the terms of reference and membership of the committees and their delegated powers. The 'Scheme of Delegation' sets out the delegated powers between the committees and individuals involved in the governance and operation of the Academy Trust. It is the key document defining which functions within the Academy Trust have been delegated and to whom. It provides a systematic way of ensuring members, governors, committees and executive leadership are clear about who has responsibility for making which decisions in the trust.
